For informational purposes only, Imperial anticipates offering the Properties in accordance with the general process described below. Further Instructions to Proponents will be shared in the Virtual Data Room described below and will take precedent over the general description contained below.

 

  1. Proponents’ Expressions of Interest and Pre-Qualification – Following pre-qualification, interested Proponents will be asked to submit initial expressions of interest, including an overview of their company, a brief general description of their proposed redevelopment plan, and selected confidential background information to qualify for future participation in the sales process.

  2. Confidential Virtual Data Room (VDR) Access – Subject to a Non-Disclosure Agreement, Pre-qualified Proponents will be provided access to Imperial’s VDR containing confidential background information currently available regarding each Property.

  3. Non-Binding Offers – Qualified Proponents will be provided an initial period to review the information available in the VDR, following which, they are expected to submit Non-Binding Expressions of Interest, subject to further due diligence. The Expressions of Interest will be expected to include, among other things, the proposed purchased price, the deposit amount and a list of all requested modifications to Imperial’s proposed Offer to Purchase Document available in the VDR.

  4. Offers to Purchase – Subject to Imperial’s review and evaluation of Non-Binding Expressions of Interest, Imperial will select a qualified list of potential purchasers to submit Binding Offers for final evaluation.


Imperial reserves the right to modify this anticipated process at its sole and full discretion, without liability of any kind.
